Terms of Service
These terms and conditions outline the rules and regulations for the use of researchcenter.group (the "Website") and any associated services, including the Research Center subscription (the "Service"). By accessing this Website or subscribing to the Service, you accept these terms in full. Do not continue to use the Website or Service if you do not agree to all terms stated here.
Terminology: "Client," "You," and "Your" refer to you, the subscriber/user. "The Company," "We," "Us," "Research Center" refer to the Company.
Nature of the Service
Research Center provides subscribers with visibility into the Company's own investment portfolio, including position entries, exits, sizing, and the reasoning behind each decision, along with related market and geopolitical research. The Service also includes access to a private community, occasional in-person member events, and a companion newsletter.
The Service does not manage, trade, or have custody or control over any subscriber's funds, brokerage account, or assets, at any time, under any circumstance. Subscribers who choose to replicate positions shown in the Service do so entirely through their own independently held brokerage accounts, using their own judgment.
Performance & Results Disclaimer
The performance figures referenced in our marketing materials, including on the Website, reflect the Company's own actual, historical trading activity, documented and time-stamped in the Research Center Telegram channel since March 20, 2021. These are not hypothetical, simulated, or back-tested results.
However:
The historical performance figure is calculated directly from Research Center's own Telegram channel — the same channel history every subscriber can view and review themselves. It is not drawn from any separate or private record. The ~30%/year figure is Research Center's own calculation applied to that trade history, including reconstruction of position sizing for earlier entries where sizing was not explicitly recorded in the channel at the time. This figure has not been independently audited or verified by a third party. Depending on the exact position sizing and timing assumptions used, a recalculation of that same history could reasonably produce a result somewhat above or below the ~30% figure cited.
Individual subscriber results will differ from the figures shown, based on the timing of when a subscriber enters or exits a position relative to the Company's own call, position sizing, execution price, brokerage fees, taxes, and market conditions at the time.
Past performance is not indicative of future results. No representation is made, and none should be inferred, that any subscriber will achieve profits or results similar to those shown historically.
No income or profit is promised or guaranteed. Research Center makes no assurance, representation, or promise that you will earn any specific amount of money, any money at all, or that you will not lose money. Any decision to invest, and any resulting profit or loss, is entirely your own.
Testimonials reflect individual experiences and are not representative of the results experienced by all, or even most, subscribers. Results are not typical.
Publisher's Exclusion / Not Investment Advice
Research Center provides general, impersonal commentary and research distributed equally to all subscribers of the Service. This content is not tailored to any individual subscriber's financial situation, goals, or risk tolerance, and no discretionary trading authority is ever granted to the Company by any subscriber.
The Company relies on the publisher's exclusion from the definition of "investment adviser" under Section 202(a)(11)(D) of the U.S. Investment Advisers Act of 1940 and comparable provisions under applicable state and other jurisdictions' securities laws, which has been interpreted by U.S. courts to cover publications offering general, impersonal advice to the public at large, rather than individualized investment advice tied to a specific client relationship.
Not a Broker-Dealer
You acknowledge that Research Center is not a broker-dealer as that term is used in applicable financial services regulations, does not trade securities on behalf of any subscriber, and does not directly offer personalized financial advice as part of the Service. You acknowledge that the Company is not liable for any losses or gains arising from your reliance on information provided through the Service or your independent trading decisions.
Subscription, Billing & Cancellation
Research Center is offered on a recurring yearly subscription basis. By subscribing, you authorize Research Center and its payment processor to charge your payment method automatically each billing cycle until you cancel.
Price and billing frequency will be clearly disclosed to you before you enter payment information.
You may cancel at any time. Cancellation stops future billing; it does not retroactively refund charges already processed, except where required by law or expressly stated otherwise.
How to cancel: every payment is confirmed by a receipt email from our payment processor, Commas. That email includes a "Manage Purchase" option where you can cancel your subscription directly, at any time, with no account creation required. Cancellation takes effect immediately and stops all future billing. If you're unable to locate that email, you may also message Louis directly on Telegram to request cancellation.
Access to the Service continues through the end of the billing period already paid for, even after cancellation.
Payment Information
If you subscribe to Research Center, your payment is processed entirely by Commas. Research Center never receives, stores, transmits, or has access to your full card number, CVV, or bank account details at any point — this information goes directly to Commas and is handled under their own security standards and privacy policy. Research Center only receives confirmation of payment status (e.g., active, canceled, failed) from Commas, not your underlying payment credentials.
Risk Disclosure
Investing and trading securities involves substantial risk, including the potential loss of some or all invested capital. The Research Center follows a concentrated, high-conviction investment philosophy, deliberately holding a small number of positions rather than a broadly diversified portfolio. This approach carries materially different — and in some respects greater — risk than a diversified portfolio: strong performance in any single position can meaningfully benefit the portfolio, but a decline in any single position can likewise meaningfully harm it. This approach will not be suitable for every investor. You should only commit capital you can afford to lose, and you are solely responsible for evaluating whether this approach is appropriate for your own circumstances.
Testimonials & Endorsements
Testimonials featured in our marketing reflect the genuine opinions and experiences of the individuals shown. Mere eligibility to participate in our generally available affiliate program does not, on its own, constitute a material connection requiring disclosure. Where a person providing a testimonial has been compensated for that testimonial specifically, or has an active, ongoing financial relationship with Research Center beyond standard membership at the time the testimonial is used, that connection will be disclosed.
Intellectual Property / License
Unless otherwise stated, Research Center owns the intellectual property rights to all material provided through the Website and Service. Subscribers may access this material for personal use only and must not republish, sell, rent, reproduce, or redistribute it, including screenshots or summaries of trade calls or research shared outside the private community.
Termination
Research Center may suspend or terminate your access to the Service at its discretion, including for violation of these terms, non-payment, or redistribution of restricted content. You may cancel your subscription at any time as described above.
Changes to These Terms
We may update these terms from time to time. If we make material changes, we will update the "Last Updated" date above and, where appropriate, notify active subscribers directly. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Limitation of Liability
To the maximum extent permitted by law, Research Center, its officers, employees, and contractors shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Website or Service, including any losses arising from investment decisions made in reliance on information provided through the Service.
Governing Law
These terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. This does not override any consumer protection rights you may have under the mandatory law of your own country or state of residence, to the extent such rights cannot be waived by agreement.
